Sole Source Contract — Definition

Definition

A Sole Source Contract is a non-competitive procurement agreement where a buyer awards a contract to a single vendor without issuing a competitive [RFP (Request for Proposal)](/glossary/rfp), typically because that vendor is the only one capable of fulfilling the requirements.

Explanation

A sole source contract is the ultimate victory in [Capture Management](/glossary/capture-management).

When a firm bypasses the RFP process entirely, they eliminate competition, drastically increase their [Win Rate](/glossary/win-rate) (to 100%), and preserve their margins because they do not have to discount their [Rate Card](/glossary/rate-card) to beat a rival.

How to Achieve Sole Source Status

In the enterprise B2B space, true sole source (where a company owns a literal monopoly on a technology) is rare. Instead, "practical sole source" is achieved through relationships and highly specialized IP.

If a vendor works closely with a client for months, proving that their proprietary framework is the only methodology that will safely solve the client's problem, the client's internal champion will often lobby procurement to waive the RFP requirement and award the contract directly.

Alternatively, if an RFP must be issued for compliance reasons, excellent Capture Management can "hardwire" the RFP requirements so narrowly that only one vendor can possibly pass the [Compliance Matrix](/glossary/compliance-matrix), creating a de facto sole source situation.

Commercial Checklist for Sole Source Deals

  1. Margin Protection: Because there is no competitive pressure, are you ensuring that your proposed pricing reflects maximum value and avoids unnecessary discounts?
  2. Scope Clarity: Even without an RFP, is your [SOW (Statement of Work)](/glossary/sow) rigorously defined to prevent [Scope Creep](/glossary/scope-creep)? (Complacency on sole source deals often ruins the delivery phase).
  3. Justification Support: Are you providing your internal champion with the exact technical language and market research they need to justify the sole source award to their procurement department?

Preguntas frecuentes
Are sole source contracts legal?+

In the private sector, yes. In government and public sector procurement, they are heavily restricted and usually require a formal 'Justification and Approval' (J&A) document proving that no other vendor exists who can do the work.

Why do buyers avoid sole source contracts?+

Because a lack of competitive bidding means they lose leverage over pricing, and it increases the risk of corruption or favoritism.
