Definition

A Teaming Agreement is a legally binding contract between two or more companies to pool their resources, expertise, and past performance to bid jointly on a specific [RFP (Request for Proposal)](/glossary/rfp) or contract opportunity.

Explanation

Many high-value enterprise and government contracts require a breadth of capabilities that no single firm possesses. For example, an RFP might require deep cybersecurity expertise and massive data center infrastructure.

Instead of walking away (a [No-Bid](/glossary/bid-no-bid)), firms execute a Teaming Agreement. One firm acts as the Prime Contractor, and the other acts as the Subcontractor. They combine their resumes to present a unified, flawless solution to the buyer.

The Risk of Teaming

Teaming introduces significant commercial risk. If the Prime wins the deal but the Subcontractor fails to deliver, the client sues the Prime. Conversely, if you are the Subcontractor, you risk the Prime winning the deal and then giving your expected share of the work to someone else (a practice known as "bait and switch").

Commercial Checklist for Teaming Agreements

  1. Exclusivity: Does the agreement prevent the partner from teaming with your competitors on this specific bid?
  2. Workshare Guarantee: Does the agreement explicitly state the percentage of revenue or specific deliverables the Subcontractor is guaranteed if the bid is won?
  3. IP Protection: Does the agreement protect the proprietary methodologies or software each party brings to the proposal?
  4. Non-Solicitation: Does it prevent the partner from poaching your employees during the bid process?
