A Statement of Work (SOW) is a legally binding contract that defines the specific scope, deliverables, timeline, exclusions, and commercial terms of a client engagement. Typically attached to a Master Services Agreement (MSA), the SOW acts as the definitive roadmap and legal protection for delivery.

To protect against delivery overruns, every SOW must explicitly list exclusions (Out of Scope items) and client dependencies (inputs, sandbox access, turnaround times).

  • Output Boundaries: Deliverables are documented as output artifacts, not open-ended support.
  • Clear Exclusions: An explicit "Out of Scope" section is included.
  • Review Limitations: Review cycles are capped (e.g. up to two rounds).
